By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you submit is accurate, current, and complete.

3. Account Registration & Security

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorised access to or use of your account
• Accept responsibility for all activities that occur under your account

4. Permitted Use & Restrictions

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

5. AI Agent Usage Policy

Global Agent Studio provides tools to create, deploy, and manage autonomous AI agents. By using these tools, you agree to:

• Take full responsibility for the behaviour and outputs of agents you create and deploy
• Ensure your agents comply with all applicable laws and do not cause harm to third parties
• Not deploy agents designed to deceive, manipulate, harass, or harm individuals
• Implement appropriate human oversight for agents performing high-stakes or irreversible actions
• Respect rate limits and usage quotas assigned to your account tier
• Not use agents to generate, distribute, or facilitate illegal content

6. Subscription, Billing & Payments

Certain features of the Service require a paid subscription. By subscribing, you agree to the following:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in our Refund Policy
• You authorise us to charge your payment method for all applicable fees
• We reserve the right to change pricing with 30 days' notice to existing subscribers
• Failure to pay may result in suspension or termination of your account
• Applicable taxes will be added to your invoice where required by law

7. Intellectual Property

The Service and all its original content, features, and functionality are and will remain the exclusive property of Global Agent Studio and its licensors. Our trademarks may not be used in connection with any product or service without prior written consent.

You retain ownership of all content, data, and materials you upload or create within the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to use, store, and process Your Content solely to provide and improve the Service.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other's non-public information and not to disclose it to third parties without prior written consent, except as required by law or as necessary to provide the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated outputs may be inaccurate, incomplete, or unsuitable for your specific use case. You are solely responsible for evaluating and verifying all AI-generated content before relying on it.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLOBAL AGENT STUDIO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) USD $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless Global Agent Studio and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the public.

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Global Agent Studio is registered, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of a mutually agreed arbitration body.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, sending an email notification. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
